Terms and Conditions
ELIGIBILITY
To be eligible to subscribe to Melbourne Business Centre services the Client must be a Registered Australian
Business, must have an Australia Bank Account and must have an Australian Mobile Phone.
Registered in Australian
The Client must have (or be in the process of obtaining) one of the following:
- Australian Business Number (ABN)
- Australian Company Number (ACN)
- Australian Registered Body Number (ARBN)
Services may be limited until a valid Australian business registration has been provided and verified.
Australia Bank Account
The client must have an Australian Bank Account.
Melbourne Business Centre does not accept foreign currencies for invoice payments.
Australian Mobile Phone
The client must be contactable by mobile telephone.
An Australian mobile phone number is required in order to receive system generated messages.
MEMBERSHIP
Melbourne Business Centre offers services and facilities to members as a extension of, and in order to support
the member's business.
In all respects, the service that are provided to member's by Melbourne Business Centre's staff are provided
acting as the staff of the member's business.
Members must not engage in activities that pose a threat to Melbourne Business Centre’s staff, management,
business and/or business reputation, or to that of other Melbourne Business Centre Members.
Members must not engage in activities that cause a disruption to the peaceful working environment at Melbourne
Business Centre.
PROOF OF IDENTITY
When signing up members are required to provide and validate their email address and Australian mobile phone number.
Clients may also be required to provide a copy of a current Australian Driver’s License or a current valid
Passport.
Clients must maintain their contact details and notify Melbourne Business Centre of changes to their forwarding
addresses, email addresses and phone number.
ACTIVATION OF SERVICES
Services become active once payment of subscription is confirmed, however services may be limited until the
Client’s identity has been verified. If proof of identity cannot be provided within 28 days then the services
will continue
as normal, but mail handling will be limited to returning the mail items to the sender until the Client’s
identity has been verified.
TERM
The Services are provided on a month-by-month basis and will continue until the services are terminated by
either Melbourne Business Centre or the Client.
TERMINATION:
Melbourne Business Centre or the Client can terminate the Services by providing 30 days notice in writing.
Notice from the client can be provided by email to
[email protected]. Notice from
Melbourne Business
Centre
will be emailed and/or posted to the Client’s last know email and/or postal address.
Melbourne Business Centre reserves the right to immediately terminate the agreement and cancel services if:
- Fees remain unpaid and/or in the reasonable opinion of Melbourne Business Centre, the client is unable
to pay its debts as they fall due
- In the reasonable opinion of Melbourne Business Centre, the Services are used for illegal, immoral or
unethical purposes
- In the reasonable opinion of Melbourne Business Centre, the activities of the client pose a threat to
Melbourne Business Centre’s staff, management, business and/or business reputation, or to that of other
Melbourne Business
Centre
clients.
- The activities of the client cause a disruption to the peaceful working environment at Melbourne
Business Centre.
TERMINATION DUE TO NON-PAYMENT
Melbourne Business Centre reserves the right to suspend or terminate a client’s Services without notice upon
rejection of any charges or if your card issuer (or its agent or affiliate) or your bank seeks return of
payments
previously
made to Melbourne Business Centre or in any other event of non-payment of charges when Melbourne Business Centre
believes you are liable for the charge. Such rights are in addition to and not in lieu of any other legal rights
or
remedies available to Melbourne Business Centre.
INVOICES
Subscription Fees are invoiced in advance at the start of each calendar month.
Fees for additional services (if any) are included with the next monthly invoice.
Invoices are emailed and include payment options and links to enable online payments
INITIAL INVOICE
If the Subscription commences mid-month, then the initial invoice will be a “Pro-Rata” invoice issued to bring the clients account into the monthly billing cycle.
The Pro Rata invoice is calculated based on a daily rate for the remaining number of days of the first month.
The daily rate is calculated by multiplying the monthly rate by 12, giving the annual rate; and then dividing the result by 365 to give the daily rate.
ADDITIONAL COSTS
Melbourne Business Centre offers an extensive range of facilities and services. A list of Additional
Services and their costs is available
from reception. Additional costs include but are not limited to; postage and handling costs, telephone call
costs (call costs may apply
for diverted and forwarded calls), reception services, support services, meeting room, boardroom, private
office and hot desk hire costs
and costs of other services and facilities that Melbourne Business Centre provide or make available to the
Client.
GST
All prices and fees displayed on the Melbourne Business Centre website are exclusive of GST.
Any applicable business or government imposed taxes, such as GST, will be added to the member's invoices in
accordance with australian goverment and tax office guidelines.
PAYMENTS
The member agrees to pay the service fee as indicated in the sign-up form. The fee is payable monthly. The fee
is charged at the beginning of the term. Termination within the term will not result in a refund of funds
for the unused time.
Payments for invoice are strictly 7 days after the invoice was issued. The payment due date is shown on
invoicecs. Invoices can be paid via EFT (electronic funds transfer)
or credit card. Links to facilitate online payments are provided on the invoices (pdf versions) and
also in the email message that accompanies the invoices.
REFUNDS
Monthly fees for Services are not refundable.
ROOM HIRE CANCELLATIONS
Any room bookings including but not limited to : meeting rooms, boardroom, private offices, hot desks and event
spaces, require a
minimum of 24 hrs notice in writing to
[email protected], during business hours prior to
cancellation.
Cancellations that are made less than 24 hrs will be charged 100% of the booking fee and invoiced to your
account accordingly.
SUSPENDED SERVICES
Services will be suspended if the account is in arrears. Services for overdue accounts will be re-activated when
the account is paid in full.
ACCOUNT RESTORING FEE
Services may be cancelled if an account has not been paid. In this event, the client must pay the overdue
account in full prior to
re-engaging services, as well as a $50 fee to have their services re-established.
INSURANCE
Melbourne Business Centre maintain public liability insurance for the business location, contents and workers
compensation insurance.
Loss or damage to Client's own property is not covered. Clients are urged to obtain any insurance necessary to
protect their own property.
Our contents and workers compensation insurance does not extend to any member/client or user.
BUSINESS HOURS
Melbourne Business Centre is open from 8:30 am to 5:30 pm, Monday to Friday except Victorian public holidays and
any weekdays on or between the 25th and 31st of December (credit is not due during this time).
BUILDING RULES
Clients that attend the office to use meeting rooms, office spaces, hot desks or other onsite facilities are
required to comply with the general building rules as set out by the landlord. The Building Rules are available
at
Reception
upon request.
AIR CONDITIONING/CLIMATE CONTROL
Air Conditioning/Climate Control is provided to the premises during the hours of 8am to 6pm Monday to Friday,
after these hours if air conditioning is required there will be a charge of $40 per hour.
INTERNET/WI-FI
Melbourne Business Centre provides high-speed Internet access to authorised clients via wireless or cabled
connections. Melbourne Business Centre does not make any representations as to the security of the Internet or
Melbourne Business Centre’s shared network or of any information that the Client places on it. The Client should
adopt whatever security measures it believes are appropriate to its circumstances. Melbourne Business Centre
makes no
representation that a particular degree of availability will be assured in connection with the Client’s use of
the Internet, Melbourne Business Centre’s internal computer network or any of the other Additional Services.
PARCELS
Melbourne Business Centre will not accept bulk deliveries (more than 2 parcels per delivery), parcels that are
oversize (larger than 30cm x 30cm x 30cm) or parcels that are overweight (over 10 Kgs). Some exceptions may
apply where
members have arranged storage and costs will apply accordingly.
STORAGE
Letters (Mail Items)
Letters (Mail Items) can be stored for a maximum of 3 months.
Mail items are discarded after 3 months.
Parcels
Parcels can be stored free for 2 weeks.
After 2 weeks, a fee applies for each week (or part thereof) for each parcel stored .
EXCESSIVE USE
Melbourne Business Centre does not set "Fair Use" limits on services or facilities.
If a client's usage of any service or facility becomes excessive and places unreasonable burden on Melbourne Business Centre resourses,
then Melbourne Business Centre will discuss the matter with the client with a view of bringing the client's use to an acceptable level.
DISPUTES
If you believe that there has been an error on your invoice, you must notify Melbourne Business Centre within 14
days (from the date that the invoice was issued) so that the matter can be promptly investigated and resolved.
If Melbourne Business Centre concludes that your invoice has been incorrectly charged; then an adjustment will
be made and a credit will be issued. If payment has already been made, then the credited amount will be retained
by
Melbourne
Business Centre and applied to subsequent invoices. If the client is not satisfied with Melbourne Business
Centre’s resolution, the matter may be escalated as appropriate. Melbourne Business Centre will abide by the
determination of
an
authorised independent mediator or higher legal authority.
LIABILITY
Melbourne Business Centre makes no representations or warranties, express or implied, of any kind to the Client
or third parties regarding Melbourne Business Centre’s services. Melbourne Business Centre shall use reasonable
efforts
to
provide the agreed services however, in no event, shall Melbourne Business Centre be liable to Client, or any
third party, for any claims for loss or damages as a result of any action or inaction by Melbourne Business
Centre.
INDEMNIFICATION
The client agrees to indemnify Melbourne Business Centre and each of its employees, sub-contractors, clients and
service providers from and against any and all liabilities, expenses (including legal fees) and damages arising
out of
use
of Melbourne Business Centre’s services and facilities. Melbourne Business Centre will not in any circumstances
have any liability for loss of the members/clients business, loss of profits, loss of anticipated earnings, loss
or
damage
to data, third party claims or any consequential loss. The member/client should consider whether to insure
against all such potential loss, damage, expense or liability.
CHANGES TO TERMS AND CONDITIONS
Melbourne Business Centre reserves the right to change these Terms and Conditions from time to time as required
to cater for changing business requirements. If the changes include the introduction of new services and or fees, then
Melbourne Business Centre will provide at least 3 months notice to all clients affected by the changes.
